Nimloth and Sindarin — License Terms

1. Definitions

In these License Terms:

“Author” means Guilherme Oliveira Siqueira, the copyright holder and owner of the Software.
“Software” means the Nimloth and/or Sindarin applications, including their executables, libraries, assets, and documentation made available by the Author.
“You” or “User” means the individual or legal entity that installs or uses the Software.
“Commercial use” means any use intended for or directed toward commercial advantage, monetary compensation, or the production of goods or services for sale. Any other use is “non-commercial.”

2. Ownership

The Software is protected by copyright and remains the exclusive property of the Author. These License Terms grant a license to use the Software; they do not transfer any ownership, intellectual property, or other right in the Software to You.

3. License grant

Subject to Your compliance with these License Terms, the Author grants You a worldwide, non-exclusive, non-transferable, and revocable license to install and use the Software solely as set out below:

a. Personal, non-commercial use. You may install and use the Software on any number of devices for personal, non-commercial purposes, free of charge.

b. Academic and non-profit use. You may use the Software free of charge for academic, educational, research, and other non-profit purposes, provided that the Author and the Software are appropriately credited in any resulting publication or public work (see the Citing page at https://nimloth.app/citing/).

c. Commercial use. Any commercial or for-profit use of the Software requires a separate commercial license, which must be obtained from the Author in advance (see the Contact page at https://nimloth.app/contato/).

4. Redistribution

You may redistribute the Software for non-commercial purposes only, and only in its original, unmodified form, including all branding, copyright notices, and these License Terms. Redistribution for commercial purposes, or redistribution of any modified version, requires the prior written permission of the Author.

5. Restrictions

Except to the extent that the following acts cannot lawfully be restricted under applicable law, You may not:

a. modify, adapt, translate, decompile, disassemble, or reverse engineer the Software, or attempt to derive its source code; b. remove, alter, or obscure any copyright, trademark, or other proprietary notice; c. sublicense, rent, lease, lend, sell, or otherwise commercialize the Software without the prior written permission of the Author; or d. use the Software in any way not expressly permitted by these License Terms.

6. Trademarks

The names “Nimloth” and “Sindarin,” together with their related logos and branding, identify the Software and the Author. Nothing in these License Terms grants You any right to use them, except as required to redistribute the Software unmodified under Redistribution above.

7. Term and termination

These License Terms take effect when You first install or use the Software and remain in effect until terminated. This license terminates automatically and immediately if You fail to comply with any of its terms. The Author may also discontinue the Software as described in Updates, support, and discontinuation; such discontinuation operates prospectively and does not, by itself, revoke Your right to continue using a copy already lawfully installed under the terms then in force. Upon termination for breach, You must cease all use of the Software and delete all copies in Your possession. The sections titled Ownership, Trademarks, Disclaimer of warranties, Limitation of liability, Governing law and jurisdiction, Severability, Entire agreement, and Acceptance survive termination.

8. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. The Author does not warrant that the Software will be error-free or uninterrupted, or that any results obtained through its use will be accurate or reliable.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SOFTWARE. Nothing in these License Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including any mandatory consumer-protection rights You may have.

10. Updates, support, and discontinuation

The Author may modify, update, correct, or discontinue the Software, in whole or in part, at any time. Support is provided on a best-effort basis, as available, and the Author does not guarantee the resolution of any issue or the provision of technical support, except where such support is required by applicable law.

11. Changes to these License Terms

The Author may update these License Terms from time to time. Updated terms will be published at https://nimloth.app/licenses/ with a revised “Last updated” date and version number. Changes apply prospectively: a version of the Software that You have already installed remains governed by the License Terms in force at the time of installation, while continued download or use of the Software after updated terms are published constitutes acceptance of those updated terms. You are encouraged to review these License Terms periodically.

12. Governing law and jurisdiction

These License Terms are governed by the laws of the Federative Republic of Brazil, without regard to its conflict-of-law rules. The courts of the District (Comarca) of Itabira, State of Minas Gerais, Brazil, shall have jurisdiction over any dispute arising out of or relating to these License Terms, without prejudice to any mandatory jurisdiction afforded to consumers under applicable law.

13. Severability

If any provision of these License Terms is held to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire agreement

These License Terms constitute the entire agreement between You and the Author regarding the Software and supersede any prior agreement or understanding, except for any separate commercial license agreement entered into under License grant above.

15. Acceptance

By installing or using the Software, You acknowledge that You have read, understood, and agree to be bound by these License Terms. If You do not agree, You must not install or use the Software.

Nimloth — Third-Party Library Licenses

The Nimloth desktop application bundles the Sindarin engine and the shared BaseLibrary components, and redistributes the following third-party libraries.
